Terms of use
1. OVERVIEW

1.1 These Terms of Use (the “Terms”) govern the relationship between you (the “End.User”, “You”, “Your”) and FinVerse Labs FZ-LLC (“Software Provider”, “We”, “Us”, “Our”) by setting out the Terms on which We provide Services (as defined below) to End-Users through its Platform (as defined below), websites, widgets and/or APIs (collectively referred as “Software”).

1.2 The Software Provider has developed and operates a service named Pay.io (the “Platform”) that allow End-Users (as defined below) to access the Software built by the Software Provider, through which End-Users may interact and transact with various third parties that offer either fiat-to-cryptocurrency and/or cryptocurrency-to-fiat and/or conversion services (referred to as a Gateway or Gateways) through which it provides its services (referred as “Services”).

1.3 By browsing the Platform, Software and Services, You acknowledge that You have read and understood these Terms and agree to be bound by them and to comply with these Terms and all applicable laws and regulations. If You do not agree to these Terms, You may not use the Platform, Software and Services.

2. ELIGIBILITY
2.1 You must be at least 18 years of age or the legal age in Your jurisdiction, whichever is higher, to access and use the Services. By accessing or using the Services, You represent and warrant that You meet this eligibility requirement and that You have read and understand these Terms.
2.2 The availability of Gateways and Your access to their third-party services is governed solely by the respective Gateway. We do not have control over nor oversee such eligibility requirements. It is Your responsibility to ensure You meet the eligibility criteria of any Gateway You choose to use in conjunction with the Platform, Software and Services.
3. INTELLECTUAL PROPERTY
3.1 Under no circumstances shall there be a transfer of any form of intellectual property, including, but not limited to, rights pertaining to the Platform, Software, copyrights, patents, trademarks, ideas, techniques, inventions, processes, works of authorship, concepts, or any other assets (collectively referred as “IP”) owned by the Software Provider, regardless of whether they are licensed or unlicensed, as a result of utilizing any of Our Software or agreeing to IP and materials contained within the Platform, Software and Services.
3.2 This Agreement confers a limited license exclusively to End-Users, specifically for the purpose of viewing, accessing, and utilizing the Platform, Software and Services provided for personal use.
4. WARRANTIES

4.1 The Software Provider is not involved in transactions between End-Users and Gateways. Therefore, We do not provide any guarantees about these transactions or the services offered by any Gateway.

4.2 The Platform, Software and Services are provided "as is." While We'll do Our best to meet Your expectations, We do not guarantee:

4.2.1 Always-on or error-free operation. Our Platform, Software and Services may experience downtime or issues for various reasons like updates, network problems, or technical glitches.

4.2.2 The accuracy of information displayed, including details about Gateways, their offers, fees, and network charges, cannot be fully guaranteed. It may not be entirely feasible to do so due to the inherent volatility of the market. Prices and values may change beyond Our control, even after transactions have started.

4.2.3 The legitimacy, availability, suitability, security, or reliability of Gateway services.

4.2.4 The legitimacy, availability, suitability, security, or reliability of integrations with third-parties wallets, applications, websites, exchanges, or protocols using Our Platform, Software or Services.
5. USER WARRANTIES

5.1 As an End-User, You agree not to:

5.1.1 Modify, copy, emulate, reverse engineer, or disassemble any part of the Platform, Software and Services.

5.1.2 Intrude upon privacy rights or collect personal information without explicit consent, using automated tools or processes.

5.1.3 Disrupt the operation of the Platform, Software and Services or the hosting servers and networks, or breach any associated regulations.
- 5.1.4 Provide false information or impersonate others.
- 5.1.5 Represent a third party in this Agreement.
- 5.1.6 Violate any relevant laws by entering into this Agreement.
6. LIMITATION OF LIABILITY

6.1 Pay.io shall not be held liable for:

6.1.1 any damages arising from transactions between End-Users and Gateways, as the Software Provider is not involved in these transactions.

6.1.2 any costs or damages resulting from incorrect information on Our Platform, Software and Services which include but is not limited to errors, security breaches, or any harm caused to Our infrastructure or third-party interfaces connected to the Platform, Software and Services.

6.1.3 indirect damages, including lost profits, missed opportunities, or changes in asset value, attributed to the availability, reliability, or uptime of the Platform, Software and Services.

6.1.4 damages resulting from any End-User-input errors. Additionally, damages inherent to cryptocurrency ownership or use, like technical defects or regulatory changes, are not covered.

6.2 In any case, Software Providers liability to any specific End-User shall be limited to the total revenue received from a Gateway for its services related to that specific End-User.
7. TERM

7.1 We reserve the right to block Your access to the Platform, Software and Services or to terminate these Terms at Our discretion, for any reason. In such an event, all limitations of liability and general provisions in these Terms will remain in effect.

7.2 We may at any time, at Our sole discretion, cease the operation of the Platform, Software and Services or any part thereof, temporarily or permanently, without giving any prior notice. You agree and acknowledge that the Software Provider does not assume any responsibility nor liability with respect to, or in connection with the termination of the Platform, Software and Services and/or loss of any data.
8. GENERAL

8.If any provisions of these Terms might be wholly or in part null and void and/or invalid and/or unenforceable as a result of any statutory regulation, judicial decision, or otherwise, this will have no consequences whatsoever for the validity of all other provisions of these Terms.

8.2 If any provision in the Assignment or any part of the Assignment cannot be relied on in law, the remaining part of the Assignment will remain in full force, always provided that provisions in the part which cannot be relied on will be deemed to have been adjusted in such a manner that reliance thereon will be possible, whereby the intention of parties with regard to the original provision or original part will remain in existence as much as possible

8.3 These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates

8.4 The courts of the United Arab Emirates Shall have exclusive jurisdiction to adjudicate any dispute arising under or in connection with these Terms.

10.1 FinVerse Labs FZ-LLC is a private limited liability company incorporated under the laws of the United Arab Emirates, having its registered business address in RAKEZ Amenity Center/T1-FF-6E, Al Hamra Industrial Zone-FZ, United Arab Emirates and registered under registration number 0000004030448.

10.2 What does the Software Provide offer:

10.2.1 A service named Pay.io (the “Platform”) that allow End-Users to access the Software built by the Software Provider, through which End-Users may interact and transact with various third parties that offer either fiat-to-cryptocurrency and/or cryptocurrency-to-fiat and/or conversion services (referred to as a Gateway or Gateways) through which it provides Services.

10.3 What does the Software Provider not offer.

10.3.1 The Software Provider does not operate as a provider or issuer of cryptocurrencies.

10.3.2 The Software Provider does not engage in the buying, selling, or re-selling of cryptocurrencies. We also do not facilitate subscriptions or purchases of securities in any jurisdiction.

10.3.3 The Software Provider is not a party to the relationship between the Gateway and an End User.

10.3.4 The Software Provider does not function as a reseller or official seller, and We do not offer cryptocurrency exchange services. Additionally, We do not provide lending or credit extension to customers.

10.3.5 The Software Provider does not establish, manage, or dictate exchange rates.

10.3.6 The Software Provider does not, and will never, have custody or direct control over the funds, cryptocurrencies, or cryptographic tokens of End-Users at any point.

10.3.7 The Software Provider does not impose charges on End-Users for the Services. The Software Provider may receive a fee from the Gateways for transactions conducted between the Gateway and an End User.

10.4 License

10.4.1 Given the intermediary nature of the Platform, Software and Services, it is important to note that the Software Provider does not require a financial or regulatory license or registration to conduct Our operations. This is due to Our specific and limited role and responsibilities in the process.
